The Companies Act 2006 imposes certain general duties on a director of a UK limited company. This Guide provides directors with an overview of these fundamental duties. This Guide does not look at the wider responsibilities of the public company director in the context of the UK Corporate Governance Code or the rules regulating listed companies.
The Companies Act 2006 supports this good business sense approach. Section 172 imposes a general duty on every company director to act in the way they consider, in good faith, would be most likely to promote the success of the company for the benefit of its shareholders as a whole. This duty is owed to the company itself.
Please note that the vast majority of directors’ duties cases were decided before the 2006 Act came into force, yet still retain relevance and application. Statutory duties must be considered in the round because directors are subject to a wide range of other regulation and legislation including the Insolvency Act 1986 and the Company Directors’ Disqualification Act 1986.
